Terms & Conditions

These Standard Terms & Conditions (the "Terms") govern all design, print, and related services provided by Redtag Designs ("RedTag", "we", "us", or "our") to the client ("you" or the "Client"). By accepting a quotation, paying a deposit or invoice, or otherwise instructing us to begin work, the Client agrees to be bound by these Terms. Where a specific item description or written agreement states terms that differ from those below, the specific terms shall prevail for that item.

2. Quotations & Pricing

Quotations are valid for thirty (30) days from the date of issue unless otherwise stated. All prices are quoted in Ghana Cedis (GHS) unless expressly agreed otherwise. Quotations cover only the scope of work described; any work requested beyond that scope will be quoted separately and may affect pricing and timelines.

3. Payment Terms

Unless otherwise agreed in writing, an advance payment (deposit) of 60% of the project value is required before work commences, with the balance due on or before the invoice due date. Accepted payment methods and details are stated on each invoice. Work will not commence, and Deliverables will not be released, until the applicable payment is received.

4. Late Payments

Payment is due on or before the invoice due date. Any overdue balance may be subject to a one-time late fee of 5% of the outstanding balance, plus interest of 2.5% per month on the outstanding balance until paid in full.

5. Revisions

Unless otherwise stated in the item description, each design service includes two (2) complimentary revisions. Additional revisions will be billed at 40% of the respective item's price per revision.

6. Project Timelines

Delivery timelines commence only after receipt of all required content, client approvals, and any applicable advance payment. Delays resulting from late submissions or approvals may affect the agreed delivery schedule.

7. Client Responsibilities

The Client is responsible for supplying accurate content, briefs, brand assets, and any required materials in a timely manner, and for confirming the accuracy of all information provided (including spelling, contact details, dimensions, and quantities). The Client warrants that any materials supplied to RedTag do not infringe the rights of any third party.

8. Proofs & Approvals

The Client is responsible for carefully reviewing all proofs before approval. Once a proof has been approved — whether for print, digital delivery, or production — RedTag is not liable for errors subsequently discovered, including typographical errors, incorrect information, or omissions. Any corrections required after approval, or any reprint arising from them, will be treated as new work and billed accordingly.

9. Print Colour Disclaimer

Printed colours may vary slightly from on-screen proofs due to differences in monitor calibration, printing processes, and material finishes.

10. Ownership & Usage Rights

Final artwork, deliverables, and usage rights are transferred to the client only upon receipt of full payment. Until full payment is received, all designs, concepts, and working files remain the property of Redtag Designs. Unless expressly agreed in writing, the transfer of usage rights does not include editable source files, and RedTag retains ownership of any preliminary concepts, drafts, or designs not selected by the Client.

11. Portfolio & Promotional Rights

Unless the Client requests otherwise in writing, RedTag reserves the right to display completed work in its portfolio, on its website, and across its social media channels for the purpose of showcasing its services. RedTag will not disclose confidential project details in doing so.

12. Third-Party Materials & Licensing

Some projects may incorporate third-party assets such as fonts, stock imagery, icons, or software, which may be subject to their own licences. Where licensing costs are not included in the quotation, they will be communicated to and borne by the Client. The Client is responsible for maintaining any ongoing licences required for continued use of such assets after delivery.

13. Cancellation

If a project is cancelled after work has commenced, the client will be invoiced for all work completed and any non-recoverable costs incurred up to the date of cancellation. Advance payments (deposits) are non-refundable once work has commenced.

14. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other in the course of a project, and to use such information only for the purpose of delivering or receiving the agreed services. This obligation does not apply to information that is already public or required to be disclosed by law.

15. Limitation of Liability

RedTag's total liability arising out of or in connection with any project shall not exceed the total amount paid by the Client for that project. RedTag shall not be liable for any indirect, incidental, or consequential losses, including loss of profit, revenue, or business opportunity, arising from the use of the Deliverables.

16. Force Majeure

RedTag shall not be held liable for delays or failure to perform caused by events beyond its reasonable control, including but not limited to power outages, internet or supplier disruptions, equipment failure, acts of government, or natural events. Affected timelines will be extended by a reasonable period.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, and any disputes shall be subject to the jurisdiction of the courts of Ghana.

18. Amendments to These Terms

RedTag may update these Terms from time to time. The version in effect at the date of a quotation or invoice shall apply to that project. Continued engagement of our services following any update constitutes acceptance of the revised Terms.

19. Acceptance of Terms

By approving a quotation, paying a deposit or invoice, or instructing RedTag to begin work, the Client confirms that they have read, understood, and agreed to these Standard Terms & Conditions.
